User Service Agreement

1. Acceptance of Terms
Welcome to GRAVION ("Company", "we", "our", "us"). This User Service Agreement ("Agreement") governs your access to and use of our website, services, and products (collectively, the "Services"). By accessing or using our Services, you agree to be bound by this Agreement. If you do not agree to these terms, please do not use our Services.
2. Description of Services
GRAVION provides GPU computing infrastructure and related services, including but not limited to:
- GPU computing resource leasing and management
- Data center colocation and hosting services
- Technical support and maintenance services
- Consulting services related to computing infrastructure
3. User Registration and Account
3.1. To access certain Services, you may need to register an account. You agree to provide accurate, current, and complete information during registration.
3.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.3. You must immediately notify us of any unauthorized use of your account or any other breach of security.
4. Payment and Billing
4.1. Service fees are calculated based on the computing resources used, duration of use, and the pricing plan selected.
4.2. All fees are payable in advance unless otherwise agreed in writing. Late payments may incur interest charges.
4.3. We reserve the right to modify pricing with 30 days' prior written notice.
5. Acceptable Use
You agree not to use our Services to:
- Violate any applicable laws, regulations, or third-party rights
- Engage in cryptocurrency mining without prior written consent
- Distribute malware, spam, or other harmful content
- Conduct activities that could damage, disable, or impair our infrastructure
- Attempt to gain unauthorized access to our systems or other users' accounts
6. Service Level and Availability
6.1. We strive to maintain a service availability of 99.9% or higher, excluding scheduled maintenance.
6.2. Scheduled maintenance will be communicated at least 48 hours in advance.
6.3. We are not liable for service interruptions caused by force majeure events, including but not limited to natural disasters, power outages, or network failures beyond our control.
7. Intellectual Property
7.1. All content, trademarks, logos, and intellectual property displayed on our website and Services are owned by GRAVION or its licensors.
7.2. You may not reproduce, distribute, modify, or create derivative works from our intellectual property without prior written consent.
8. Limitation of Liability
8.1. To the maximum extent permitted by law, GRAVION shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Services.
8.2. Our total liability shall not exceed the amount of fees paid by you in the twelve (12) months preceding the claim.
9. Term and Termination
9.1. This Agreement remains in effect as long as you use our Services.
9.2. Either party may terminate this Agreement with 30 days' written notice.
9.3. We may terminate or suspend your account immediately if you violate this Agreement.
10. Governing Law and Dispute Resolution
10.1. This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which GRAVION operates.
10.2. Any disputes arising from this Agreement shall first be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration.
11. Changes to This Agreement
We reserve the right to modify this Agreement at any time. Material changes will be communicated via email or website notice at least 30 days before they take effect. Continued use of our Services after changes constitutes acceptance of the modified Agreement.
